IgniteOS Terms & Conditions

1. Acceptance of Terms
By accessing, subscribing to, or using the IgniteOS Platform, you ("Customer," "You," or "Your") expressly and irrevocably agree to be strictly bound by these Terms and Conditions ("Terms"). If You do not agree to these Terms, You must not access or use the Platform. These Terms govern Your subscription to and use of the Platform and Services provided by igniteos.ai (IgniteOS).
2. Services and Platform
IgniteOS provides access to a marketing and communication platform (the "Platform"), which is a white-labeled service powered by GoHighLevel (GHL). The services include, but are not limited to, CRM, marketing automation, communication tools, and website/funnel building capabilities.
3. User Accounts and Responsibilities
3.1 Account Creation: Some features of the Platform require You to register for an account. You agree to provide accurate and complete information during the registration process and to update Your information as needed.
3.2 Security: You must maintain the confidentiality of Your login credentials and immediately notify IgniteOS of any unauthorized access to Your account. You are solely responsible and liable for all activities that occur under Your account.
3.3 Liability: When reselling or using the Platform, You acknowledge that IgniteOS is responsible for providing the service to You, and You are fully and exclusively liable to Your customers or end-users for their access to and use of the Platform. You are solely responsible for the resolution of all customer disputes and inquiries related to Your use of the Platform and shall indemnify IgniteOS against any claim arising from Your customer relationships.
4. Pricing and Billing
4.1 Fees: All fees for the Services are specified at the time of purchase or subscription. You agree to pay all applicable fees and taxes.
4.2 Subscription Renewal: All subscriptions auto-renew unless canceled before the renewal date. You authorize IgniteOS to charge the payment method on file for all renewal fees.
4.3 Payment Failure: Payment failures will lead to immediate account suspension, and failure to cure within 7 days will result in termination.
4.4 Refunds: All fees and charges are non-refundable under any circumstances. This includes, but is not limited to, initial setup fees, usage fees, and subscription fees for both monthly and annual plans. If You cancel Your subscription, You will not receive a refund for any time remaining on the paid subscription period. You explicitly waive the right to seek a refund or initiate any form of chargeback against IgniteOS, its payment processors, or banking institutions for any paid fees.
5. Data Subject Rights and Compliance
5.1 Responsibility for User Contributions: You own or control all rights in and to the data, content, and information You submit or contribute to the Platform ("User Contributions" or "Customer Data"). You are solely responsible for such content, including its legality, reliability, accuracy, and appropriateness.
5.2 Data Subject Requests: You are solely responsible for managing and responding to all data subject rights requests from Your customers and end-users, including requests for access, deletion, correction, and portability of personal data. You must establish and maintain appropriate procedures to fulfill such requests within the timeframes required by applicable privacy laws.
5.3 Data Breach: You are solely responsible for complying with all applicable data breach notification laws and regulations. You agree to indemnify IgniteOS for any liability arising from Your failure to comply with data protection or data breach laws.
6. Acceptable Use
6.1 Prohibited Activities: You agree to use the Platform lawfully and only for its intended purpose. You must not upload illegal, harmful, or infringing content, or attempt to reverse-engineer, breach security, or misuse the system.
6.2 Violation: Violation of these acceptable use guidelines will result in the immediate and irreversible suspension and/or termination of Your access to the Platform, without any recourse or right to a refund.
7. Intellectual Property
7.1 Ownership: All platform code, logos, branding, and features (excluding Customer Data) are the exclusive intellectual property of IgniteOS or its licensors (GoHighLevel).
7.2 License: This license is strictly limited. You are absolutely and expressly prohibited from sublicensing, reproducing, or modifying any proprietary part or asset of the Platform, including the underlying codebase, custom marketing funnels, website templates, and proprietary workflows, which remain the exclusive property of IgniteOS. Any attempt to do so will constitute a material breach of these Terms.
8. Warranties and Disclaimer
The Platform and Services are provided on an “as is” and “as available” basis. IgniteOS makes no warranties, express or implied, regarding the Platform or services, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
IgniteOS shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with Your use of the Platform, including, without limitation, damages for lost profits, loss of data, or business interruption, even if IgniteOS has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless IgniteOS, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) on a full indemnity basis arising out of or relating to Your violation of these Terms, Your use of the Platform, or any action taken by Your customers or end-users.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland.
12. Termination
12.1 Customer Cancellation: You may cancel Your subscription at any time through Your account settings.
12.2 IgniteOS Suspension/Termination: We may suspend or terminate Your access without notice for non-payment, misuse of the platform, or any breach of the Terms.
12.3 Post-Termination: Upon the effective date of termination, Your access to the Platform shall cease immediately and irrevocably. The disposition of Your data and the Platform Account is governed exclusively by Section 13 (Data Ownership and Platform Transfer Restrictions) below.
13. Data Ownership and Platform Transfer Restrictions
13.1 Ownership of Customer Data
IgniteOS acknowledges that the Customer retains ownership of all proprietary Customer Data, including contact lists, conversational history, opportunities, and appointments (“Customer Data”) that is stored within the dedicated sub-account on the IgniteOS Platform.
13.2 Prohibition on Platform Transfer and Consequences of Breach
IgniteOS operates under a non-negotiable policy that strictly prohibits the transfer of the Customer’s entire sub-account to any other Agency Partner utilizing the GoHighLevel platform. The sub-account is provisioned exclusively under the master license, proprietary workflows, and financial structure of IgniteOS, which are proprietary assets of IgniteOS. Any action or attempt by the Customer or any third party acting on the Customer's behalf (including submitting an in-app transfer request to GoHighLevel) to initiate or facilitate such a transfer shall be deemed an immediate and irremediable Material Breach of this Agreement. Upon such breach, IgniteOS, at its sole discretion, retains the absolute right to deny the transfer request and pursue all legal and financial remedies available, without in any event waiving the Customer's obligation to pay any and all outstanding or remaining fees due under the terms of their subscription or service contract.
- Customer Acknowledgment: The Customer acknowledges and agrees that upon termination of service, for any reason, the entire sub-account (the "Platform Account") will not be transferred to any third party, including other GoHighLevel Agencies.
13.3 Data Portability and Export Rights upon Termination
In compliance with data portability requirements, the Customer may download or export their own Customer Data from within the Platform at any time prior to termination. Should the Customer terminate this Agreement, IgniteOS will support a formal retrieval of the Customer Data, but not the Platform Account itself, in accordance with the following procedure:
- Written Request: The Customer must submit a written termination request specifying the desired data export.
- Export Format: IgniteOS shall provide the Customer Data in a standard, industry-accepted format (e.g., CSV files for contacts, opportunities, etc.).
- Data Exclusions: This data export is strictly limited to Customer Data and shall exclude all assets that remain the sole and exclusive property of IgniteOS, including, but not limited to:
- Proprietary marketing funnels, website templates, and forms.
- All proprietary workflow and automation logic, which will be set to 'Draft' status prior to export.
- All financial gateway configurations, including Stripe connections.
- Any active third-party marketplace subscriptions (e.g., Wordpress, Yext, Dedicated IP), which must be cancelled by the Customer prior to termination.
- Final Cleanup: The Customer shall be solely responsible for manually acquiring any necessary assets that do not automatically export, such as domain names, and for coordinating the manual porting of any active non-LeadConnector phone numbers (e.g., direct Twilio) with the new service provider.
- Retention and Deletion: IgniteOS will retain the Customer Data for a period of thirty (30) days following termination to allow for export. After this 30-day period, IgniteOS reserves the absolute right to permanently delete the sub-account and all associated data, except as required by law.
13.4 HighLevel Platform Transfer Requests (Denial of Request)
The Customer is prohibited from initiating a direct transfer request via the GoHighLevel platform seeking to transfer the entire sub-account to another agency. If such a request is initiated, the Customer understands that such action constitutes a breach of this Agreement. IgniteOS retains the absolute, non-negotiable right to formally deny and block any in-app transfer request from the GoHighLevel platform to maintain the integrity of its master agency account and proprietary assets.

15. Miscellaneous
15.1 Modification: IgniteOS reserves the right to modify these Terms at any time without prior notice. Your continued use of the Platform constitutes irrevocable acceptance of the modified Terms.
